• Jurisdiction: Any dispute arising out of or in connection with these Terms, the Website, or our services shall be subject to the exclusive jurisdiction of the courts of Muntinlupa City, Metro Manila, Philippines.

4. Intellectual Property Rights

• The Dijkstra ICT name, logo, and other trademarks are trademarks of Dijkstra ICT. You may not use these without our prior written permission.
• Any software developed or provided by Dijkstra ICT as part of its services shall remain the intellectual property of Dijkstra ICT unless otherwise specified in a separate agreement. Clients are granted a non-exclusive, non-transferable license to use such software for the intended purpose as outlined in the service agreement.

5. Confidentiality

• During the course of providing services, Dijkstra ICT may have access to confidential and proprietary information of the client. Dijkstra ICT agrees to keep such information confidential and use it solely for the purpose of providing the agreed-upon services, subject to applicable Philippine laws.
• Clients also agree to keep confidential any proprietary information of Dijkstra ICT disclosed during the engagement.

6. Limitation of Liability

• Dijkstra ICT will exercise reasonable care and skill in providing its services. However, Dijkstra ICT shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Website or our services, even if Dijkstra ICT has been advised of the possibility of such damages.
• Our total liability to you for any and all claims arising out of or in connection with these Terms or the services provided shall not exceed the amount paid by you to Dijkstra ICT for the specific services giving rise to the claim.
• Dijkstra ICT shall not be held responsible for any delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

7. Indemnification

You agree to indemnify, defend, and hold harmless Dijkstra ICT, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your breach of these Terms or your use of the Website or services in violation of these Terms or any applicable law.

Your use of our Website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We may terminate or suspend your access to our Website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. 11. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provisions shall be deleted without affecting the remaining provisions herein.

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Dijkstra ICT regarding your use of the Website and services.
